Position Description

The Sr Director, M&A and Investment Strategy will have responsibilities across two key growth efforts for the enterprise.  The M&A portion will focus on transaction prospecting, origination, screening, and execution. Transactions would span acquisitions, joint ventures, strategic alliances and also divestitures of non-core businesses.   The Investment portion will focus on overall leadership of the long-term investment strategy for Quest, driving strategic alignment between Quest and external partners for all minority investments and managing Quest’s investment portfolio to maximize both strategic and financial returns to the corporation.  The position is based at Company headquarters in Secaucus, NJ.

Duties and Responsibilities

M&A Business Development:

  • Alignment to the North Region and Quest Services businesses (Extended Care, ExamOne, Employer Solutions, Health & Wellness)

  • Participate in internal business and strategy processes to understand Quest’s long term strategy and goals

  • Build a deep understanding of opportunities/competitors in this space and initiate dialogue with high priority acquisition candidates.  Focus areas for acquisition include (but not limited to): independent laboratories, specialty testing labs, technology companies, and hospital outreach businesses. 

  • Partner with General Managers and other business leaders to develop M&A pipeline opportunities that would benefit Quest Diagnostics

  • Manage a transaction from sourcing and identification through to valuation, due diligence, contract negotiation and signing/close

  • Perform detailed valuation and financial analysis on acquisition and partnership candidates and develop a business case for why we should move forward

  • Lead cross-functional, due diligence teams in evaluation of target business.  Including collaboration with key corporate functions (e.g. Legal, Accounting, Tax, Compliance, Medical & Regulatory) and business leaders to assess risk, and develop operating and financial models

  • Prepare and present business proposals to the business development committee on acquisition decisions

  • Drive deal execution, including negotiation with bankers or company management on deal terms and purchase agreements, and partnering with Legal to close the transaction

  • Ensure smooth handoff to M&A Integration and the business leadership and operations team following deal closure

  • Complete the 2018 integration leadership assignment for the MedXM acquisition and ensure a smooth transition to the Extended Care Operations and Commercial leadership team

    Investment Strategy Oversight

    • Direct the investment strategy for a $25M growth ventures fund and all follow-on investments

    • Manage the relationship and performance oversight for the existing portfolio companies

    • Chair the Quest Strategic Investment Steering Committee comprised of leaders across the enterprise to assess all new investment opportunities and drive strategic areas of focus for external investment.  Members may include representatives from Advanced Diagnostics, Extended Care, Corporate Medical/R&D, Informatics & Analytics, and our Consumer-focused solutions business lines.

    • Lead Quest due diligence process for potential portfolio companies in conjunction with external partners and internal subject matter experts

    • Drive collaboration between internal Quest resources and portfolio companies to increase Quest access to new technology & business models while enhancing portfolio company value

    • Partner with venture fund leadership to develop and strengthen industry network to secure the identification of the most attractive investment or collaboration opportunities

    • Implement and manage reporting & tracking system for all portfolio investments

    • Prepare and give business reviews to the senior management team regarding progress and roadblocks to ensure visibility and engagement across the enterprise where appropriate

    • Moderate travel required (less than 25%)


    The successful candidate will have the following attributes and/or experiences:

    • Minimum of 8 years of experience in developing and implementing mergers and acquisitions within a corporate setting or consulting advisory firm, preferably in the healthcare industry
    • Experience in investment banking, private equity, venture capital or technology licensing highly preferred
    • Extensive knowledge of M&A practices and direct experience in valuing prospects
    • Proven track record of sourcing and closing deals
    • Proven ability to lead cross-functional teams and drive results
    • Superior relationship building skills, ability to thrive in a highly matrixed environment, and lead through influence.
    • Strong overall business acumen and solid financial analytic skills
    • Excellent judgment and analytical ability to make recommendations/decisions and to resolve complex problems.
    • Flexibility to manage multiple assignments and maintain confidentiality of sensitive information. Ability to thrive in a highly dynamic, time sensitive and collaborative environment.
    • Strong listening, written and oral presentation skills suitable for C-Suite and external partner discussions
    • Ability to present ideas in business-friendly and user-friendly language
    • Knowledge of project management techniques and tools

    • Undergraduate degree and MBA are required
